Terms of Service
Effective Date: 25 June 2026
These Terms of Service govern access to and use of the Luminate Software platform and its public website, provided by Luminate Medical MSO LLC.
In these Terms, “Luminate,” “we,” “us,” and “our” mean Luminate Medical MSO LLC, a subsidiary of Luminate Medical Inc. Specific products, support commitments, payment terms, and customer responsibilities are governed by separate agreements, order forms, Master Services Agreements, or Business Associate Agreements, which take precedence over these Terms where they conflict.
Website Use
You may use our public website only for lawful purposes and in accordance with these Terms. You must not misuse the website, attempt unauthorized access, interfere with its security or availability, introduce malicious code, scrape content without authorization, or misrepresent your identity.
Platform Access
Access to the Luminate Software platform is limited to authorized users under an applicable agreement. Users must protect their credentials, use the platform only as authorized, comply with access controls, and promptly report any suspected unauthorized access or security incident.
Health and Patient Information
Where use of the platform involves PHI/ePHI, that processing is governed by the applicable Business Associate Agreement and HIPAA. These Terms do not replace any required patient-facing notice, healthcare consent, or Business Associate Agreement.
Access Controls
Access to production environments and PHI/ePHI is limited to authorized U.S.-based personnel with a documented business need, granted on a least-privilege, role-based basis. Personnel without such a need work within development or test environments using masked, de-identified, or synthetic data.
Customer Responsibilities
Customers and authorized users are responsible for ensuring they have the right to provide information to us, that their users are authorized, and that their use of the platform complies with applicable laws and agreements. Customers must not upload information to the platform unless permitted under the applicable agreement.
Third-Party Services
The platform relies on third-party hosting providers, subprocessors, and other service providers, which may be subject to their own terms. A current list of key subprocessors is available on request.
Confidentiality
Non-public business, technical, security, and customer information must be treated as confidential where disclosed under or in connection with an applicable agreement.
Intellectual Property
Luminate and its licensors retain all ownership of the platform, website, documentation, designs, source code, trademarks, and related intellectual property. No rights are granted except as expressly stated in these Terms or a separate written agreement.
Disclaimers
Public website content is provided for general informational purposes. Warranties, service levels, uptime, and other commitments for the platform are governed solely by the applicable written agreement.
Limitation of Liability
Liability limitations applicable to the platform are set out in the applicable customer or service agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.
Suspension or Termination
We may suspend or restrict access to the website or platform where required for security, legal, regulatory, or operational reasons, or where we reasonably believe there has been unauthorized use or misuse.
Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a revised effective date.
